These Terms of Use ("Terms") govern access to and use of the website milyonuss.com and the Milyonus Interviewer AI Agent platform (together, the "Service"), provided by Milyonus A.Ş., a company registered in Ankara, Türkiye ("Milyonus," "we," "us"). By accessing the website, submitting a demo request, or using the Service, you agree to be bound by these Terms.

1. Business-to-Business Service
The Service is offered exclusively to corporate entities ("Clients") for use in their professional recruitment and hiring processes. The Service is not offered to consumers for personal, family, or household use. Individuals who participate as interview candidates ("Candidates") do so at the invitation of a Client and are subject to Section 6 below.

2. Membership and Eligibility
2.1 Access to the Service requires registration and membership. Membership is mandatory for all Clients; there is no anonymous or guest access to the interview-management platform.
2.2 All prospective Clients must submit a request through Milyonus's demo/inquiry process. No prospective Client may access or use the Service unless and until their application has been reviewed and approved by Milyonus's internal Demo Tracking and Approval Board ("Board"). The Board's decision to approve or decline any applicant is at Milyonus's sole discretion, and Milyonus is under no obligation to provide reasons for a declined application.
2.3 Following Board approval, access is granted only after (a) an online meeting between the Client and Milyonus, and (b) execution of the applicable Service & Subscription Agreement between the parties.
2.4 You represent that you are authorized to bind the corporate entity on whose behalf you register, and that all registration information provided is accurate and complete.

3. Free Trials
Milyonus may, at the sole discretion of the Board, grant a free trial of the Service to selected prospective Clients for a period determined by the Board. Free trials are not guaranteed, are not available to all applicants, and may be modified, shortened, or revoked at any time at Milyonus's discretion.

4. Subscription Term and Fees
Paid access to the Service is provided under individually negotiated commercial terms of one (1), five (5), or ten (10) years, as set out in the applicable Service & Subscription Agreement executed between Milyonus and the Client. Fees, invoicing, and payment terms are as specified in that agreement. Milyonus does not store payment card or bank payment credentials; payments are processed through third-party payment infrastructure that does not share stored payment credentials with Milyonus.

5. No Refunds
Except as expressly required by mandatory applicable law or expressly agreed in writing in a Service & Subscription Agreement, all fees paid to Milyonus are non-refundable, and Milyonus does not offer a right of withdrawal, cancellation, or return once a subscription term has commenced.

6. Candidate Interviews
6.1 Clients may invite Candidates to participate in interviews conducted by the Milyonus AI Interviewer Agent. Clients are responsible for ensuring that Candidates are informed of, and validly consent to, the interview being recorded, transcribed, and analyzed by artificial intelligence, as further described in our Privacy Policy.
6.2 A Candidate interview session will not begin unless the Candidate affirmatively provides consent via the consent checkbox presented prior to the session.
6.3 Milyonus is not a party to the employment relationship between the Client and the Candidate. All hiring decisions remain the sole responsibility of the Client. Milyonus's AI-generated scores, reports, and recommendations are decision-support tools only and do not constitute a guarantee of a Candidate's suitability, qualifications, or performance.

7. Acceptable Use
Clients agree not to: (a) use the Service for any unlawful, discriminatory, or fraudulent purpose; (b) use the Service to make hiring decisions in violation of applicable labor, employment, or anti-discrimination law; (c) attempt to reverse-engineer, decompile, or extract the underlying models or source code of the Service; (d) resell, sublicense, or provide access to the Service to any third party without Milyonus's prior written consent; (e) use the Service to interview Candidates without obtaining valid consent as required under Section 6; or (f) interfere with or disrupt the integrity or performance of the Service.

8. Intellectual Property
The Service, including all software, AI models, interfaces, trademarks (including "Milyonus" and associated logos), and documentation, is the exclusive property of Milyonus A.Ş. or its licensors and is protected by applicable intellectual property laws. These Terms do not grant Clients any ownership interest in the Service. Clients retain ownership of the underlying candidate application data they upload, subject to Milyonus's rights to process such data to provide the Service as described in the Privacy Policy.

9. Confidentiality
Each party agrees to protect the other party's confidential information disclosed in connection with the Service with at least the same degree of care it uses to protect its own confidential information, and not to disclose such information to third parties except as permitted under the applicable Service & Subscription Agreement.

10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MILYONUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MILYONUS DOES NOT WARRANT THAT THE AI AGENT'S ASSESSMENTS WILL BE ERROR-FREE, UNBIASED, OR SUITABLE FOR ANY PARTICULAR HIRING DECISION, AND EACH CLIENT REMAINS SOLELY RESPONSIBLE FOR ITS OWN HIRING DECISIONS AND COMPLIANCE WITH APPLICABLE EMPLOYMENT LAW.

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILYONUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE. MILYONUS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY THE CLIENT TO MILYONUS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY MANDATORY LAW.

12. Termination
Milyonus may suspend or terminate a Client's access to the Service for breach of these Terms or the applicable Service & Subscription Agreement, non-payment, or conduct that Milyonus reasonably believes poses a legal, security, or reputational risk. Termination terms are otherwise governed by the applicable Service & Subscription Agreement.

13. Changes to the Service and Terms
Milyonus may modify these Terms or the Service from time to time. Material changes to these Terms will be notified to registered Clients. Continued use of the Service after such notice constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Türkiye. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts and enforcement offices of Ankara (Çankaya), Türkiye, unless otherwise agreed in a specific Service & Subscription Agreement.
